Terms of Service

1. Acceptance of Terms
By accessing or using the AI SMEs platform ("the Service"), operated by SoftRivo ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not access or use the Service.
These terms constitute a legally binding agreement between you and SoftRivo. We may update these terms from time to time as described in Section 12.
2. Description of Service
AI SMEs is a software-as-a-service (SaaS) platform that enables businesses to deploy WhatsApp AI chatbots powered by uploaded business content such as FAQ documents, menus, and price lists. The platform is built and operated by SoftRivo.
The Service includes a bot deployment system, lead capture and scoring, a leads management dashboard, and notifications to business owners via WhatsApp and email.
3. Eligibility
To use the Service, you must be at least 18 years of age. By creating an account, you confirm that you are 18 or older and that you have the authority to bind yourself or your business to these Terms of Service.
4. Account and Subscription
- Accounts are activated manually by SoftRivo following payment confirmation.
- The current subscription fee is RM300 per month (Launch Plan), plus a RM200 one-time setup fee.
- Payment is accepted via DuitNow transfer or direct bank transfer.
- Subscriptions are on a monthly basis and do not automatically renew — manual renewal is required each month.
- To cancel your subscription, provide 30 days' written notice to contact@softrivo.com.
- SoftRivo reserves the right to adjust pricing with 30 days' notice to active subscribers.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the platform to send spam, unsolicited messages, or mass marketing communications
- Upload content that is illegal, defamatory, obscene, harassing, threatening, or harmful
- Attempt to reverse engineer, decompile, or extract the source code of the platform
- Share your account credentials or grant access to unauthorised third parties
- Use the platform in any way that violates Meta's WhatsApp Business Policy or Terms of Service
- Use the platform for any illegal purpose or in violation of any applicable laws or regulations
- Attempt to probe, scan, or test the vulnerability of the platform or its underlying systems
6. WhatsApp Policy Compliance
You are solely responsible for ensuring that your use of the WhatsApp integration complies with Meta's WhatsApp Business Policy, WhatsApp Terms of Service, and all applicable platform guidelines.
SoftRivo is not liable for the suspension, restriction, or termination of your WhatsApp Business Account by Meta arising from your use of the platform in violation of Meta's policies. No refunds will be issued in the event of account suspension by Meta due to policy violations attributable to the client.
7. AI-Generated Content
- AI responses are generated based exclusively on the content you upload to the platform.
- You are solely responsible for the accuracy, completeness, and legality of all uploaded content.
- SoftRivo does not guarantee that AI-generated responses will be accurate, complete, or appropriate in all situations.
- Do not upload confidential information, sensitive personal data, regulated health records, financial records, or any information subject to professional confidentiality obligations.
8. Data Ownership
- You retain full ownership of all content you upload to the platform (FAQ files, menus, price lists, etc.).
- You retain full ownership of all lead data captured through your chatbot.
- By using the Service, you grant SoftRivo a limited, non-exclusive licence to process, store, and use your content solely for the purpose of providing the Service to you.
- This licence terminates when you cancel your account, subject to applicable data retention periods described in our Privacy Policy.
9. Service Availability
SoftRivo aims for high availability and reliability but does not guarantee uninterrupted access or a specific uptime percentage. Planned maintenance windows will be communicated to active subscribers in advance wherever possible.
SoftRivo is not liable for losses, loss of revenue, or any other damages arising from service downtime, whether planned or unplanned.
10. Limitation of Liability
To the maximum extent permitted by applicable law, SoftRivo's total liability to you for any claims arising under these Terms is limited to the total fees you paid to SoftRivo in the 30 days immediately preceding the claim.
SoftRivo is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if SoftRivo has been advised of the possibility of such damages.
11. Termination
- You may cancel your subscription at any time by contacting contact@softrivo.com with 30 days' written notice.
- SoftRivo may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law or Meta's policies.
- Upon termination, your access to the platform will be revoked. Your data will be retained for 60 days, after which it will be permanently deleted in accordance with our Privacy Policy.
- No refund is provided for partial months upon cancellation.
12. Changes to Terms
SoftRivo may update these Terms of Service from time to time. We will notify active subscribers of material changes by email at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
13. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
